Roles linked to the service of legal person certificate
All the procedures for issuing legal person certificates, as well as the setup to use the GAUDI [BCCR’s app] functionalities, are carried out through the
Central Directo transactional platform.
There are three important roles for the participation of the legal person in the Central Directo platform:
1. Person with Authority to Sign the Subscriber Agreement: This person must have the legal capacity required to express the will of the legal person, to become a subscriber of legal person certificates through the signing of the Subscriber Agreement, as well as to use the functionalities of the GAUDI application. For the acknowledgment of this legal representative by the Central Directo platform, it is required to have the certification of a
notary, who will confirm (digital affidavit) before the platform that the designated person has sufficient authority to carry out the procedures. Once the notary registers the digital affidavit, it will remain valid for 30 calendar days, during which the legal representative may perform any action on the platform on behalf of the legal entity. 2. Representative of the Legal Person: This person may complete the registration of the legal person on the Central Directo platform and appoint the Technical Assistants. The representatives must meet one of the following requirements:
a. Being a user with Total Security Manager (RST, by its acronym in Spanish) level:
• If the legal person is connected to the SINPE platform.
• If it is already registered in another Central Directo business line called Financial Services.
b. Holding one of the following valid powers of attorney on behalf of the legal person, duly registered with the National Registry:
• General;
• Generalissimo (Full POA);
• Factor (special/limited).
• Representative of foreign companies.
c. Holding one of the following (valid) appointments on behalf of the legal person, duly registered before the National Registry:
• Chairperson;
• Manager;
• Administrator.
d. Holding a valid appointment duly registered before the National Registry, which grants judicial and extrajudicial representation of the legal person.
e. A person designated by a notary as the Person with Authority to Sign the Subscriber Agreement may exercise this role during the 30 calendar days of validity of such an appointment.
3. Technical Assistant: This appointment is optional. The Technical Assistant is in charge of requesting the issuance of legal person certificates, but shall not sign the corresponding Subscriber Agreement. Additionally, this person is responsible for the technical setup of brand identities required to use the GAUDI functionalities. Technical Assistants are appointed by the Representative of the Legal Person or by the Person with Authority to Sign the Subscriber Agreement, who may also perform the duties of the Technical Assistants.
